Terms of Use

1. Acceptance of Terms

By accessing or using Zerne Capital's website, mobile applications, and financial services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree, you may not use the Services.

These terms constitute a legally binding agreement between you and Zerne Capital Limited, a company registered in Nigeria.

2. Eligibility

To use our Services, you must:

  • Be at least 21 years old.
  • Be a Nigerian citizen or legal resident with a valid Bank Verification Number (BVN).
  • Have a verifiable source of income (for Individual Financing) or a registered business (for SME Capital).
  • Provide accurate, complete, and truthful information in all applications.
  • Not have been declared bankrupt or be subject to any court order restricting your financial activities.

3. Account Registration

You must create an account to submit loan applications. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to notify us immediately of any unauthorised use.

We reserve the right to suspend or terminate accounts that provide false information, engage in fraudulent activity, or violate these terms.

4. Loan Applications and Approval

Submitting a loan application does not guarantee approval. All applications are subject to credit assessment, identity verification, and fraud checks. We reserve the right to approve, decline, or request additional documentation at our discretion.

Approved loan amounts, interest rates, and tenures are specific to each application and are communicated in the loan offer. You must review and accept the offer before disbursement.

5. Repayment Obligations

You agree to repay all loans in accordance with the repayment schedule provided in your loan agreement. Repayments may be collected via direct debit, bank transfer, or the Global Standing Instruction (GSI) mechanism, where applicable.

Late payments: Missing a repayment may result in late fees, additional interest charges, and reporting to credit bureaus. Persistent default may lead to legal action and recovery proceedings.

Early repayment: You may repay your loan early without penalty. Interest is calculated only for the period the loan is active.

6. Global Standing Instruction (GSI)

For certain products, you authorise Zerne Capital to use the Central Bank of Nigeria's GSI framework to recover outstanding loan amounts directly from any bank account linked to your BVN, in the event of default. This authorisation is captured during application and confirmed via a digital signature.

7. Fees and Charges

All fees are disclosed upfront in your loan offer. Standard fees include:

  • Interest: Calculated monthly on the outstanding principal.
  • Processing Fee: A one-time fee deducted at disbursement (where applicable).
  • Late Payment Fee: Applied after a grace period of 3 days.
  • Loan Restructuring Fee: Applied if you request a modification to your repayment schedule.

8. Prohibited Activities

You may not:

  • Use the Services for illegal, fraudulent, or money laundering purposes.
  • Submit false, misleading, or forged documents.
  • Attempt to bypass security measures or access accounts not belonging to you.
  • Reverse-engineer, scrape, or automatedly extract data from our platform.
  • Use loan proceeds for gambling, speculative trading, or prohibited activities.

9. Intellectual Property

All content, trademarks, logos, and software on our platform are the property of Zerne Capital or its licensors. You may not reproduce, distribute, or create derivative works without written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Zerne Capital is not liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability shall not exceed the amount of the specific loan in dispute.

We do not guarantee uninterrupted access to the platform and are not responsible for delays caused by third-party services (e.g., banks, payment processors).

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, with the seat in Lagos, Nigeria.

12. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with a revised date. Your continued use of the Services constitutes acceptance of the updated Terms.
